Welcome! Thank you for your interest in our company.  Here is some information about shares of our stock.

Purchasing Shares of our Common Stock

There is no public market for our shares of common stock, and we do not expect one to develop for the foreseeable future.  Shares of our common stock are not listed on any securities exchange or quoted on any automated quotation system. 

Shares of our stock trade from time to time by direct transactions between our shareholders, or by shareholder to non-shareholder purchases.  If you would like to purchase shares of our stock, you may notify us and we will put you on a list of persons who have expressed an interest in purchasing shares of our stock.  From time to time, shareholders may advise us that they wish to sell their shares of common stock.  When a shareholder advises us that they want to sell their shares of common stock, we will try to put both parties in touch.  The potential buyer and seller then negotiate and complete the transaction.  If you need our assistance to facilitate the transfer, please feel free to contact us (contact information below).

We have in the past, and may again in the future, make limited, private placement offerings of shares of our stock.  Participation in our offerings is subject to strict qualifications imposed by state and federal securities laws and by us.  Because there is no public market for shares of our common stock, any purchase of stock should be viewed by the purchaser as a long-term investment.

Selling Your Shares of Common Stock

If you wish to sell all or some of your shares of stock, you may find your own buyer or you may notify us of your desire to sell shares.  If you choose to notify us, we will attempt to put you in contact with a potential buyer.  You will be responsible for the negotiation or completion of any transaction involving your shares of stock.  Once you and the buyer have agreed on the terms of the transaction, the seller should contact our transfer agent (contact information below) to make the transfer arrangements.  If you need our assistance to facilitate the transfer, please feel free to contact us (contact information below).

Restrictions under applicable securities laws may apply to a sale of your shares of our stock. 

Valuation of Our Stock

Shares of our common stock have been valued on an annual basis by an independent valuation firm.  You may contact us for the last valuation on file.  This valuation is representative of the value at a point in time and is not reflective of future value.   

Lost Certificates

Please contact our transfer agent (contact information below) for replacement of lost stock certificates.  You may have to incur fees and expenses to replace a lost stock certificate.

Stock Transfers, Name and Address Changes

For transferring the title on your stock certificates, please contact your broker if you hold your shares in a brokerage account; otherwise contact our transfer agent (contact information below).  This applies to sales, transfers through gifts, transfers into trust, or other name or address changes.  There is no fee for this service.

To complete the transfer of share certificates, you may be required to provide certain information to ensure that the proposed transfer complies with applicable securities laws.

Dividends

We have never paid a cash dividend on shares of our common stock.  We do not intend to pay any cash dividends for the foreseeable future. 

Shareholder Rights and Voting Requirements

The total authorized shares of our capital stock currently consist of 4,000,000 shares of common stock and 1,000,000 shares of preferred stock.  No shares of our preferred stock are currently outstanding.

Annual Shareholders Meeting

The Annual Shareholders Meeting is generally held in May each year. We encourage all shareholders to attend.  Information about our next meeting will be communicated to our shareholders when it becomes available.
